Introduction
Thank you for using Askly.
We help companies provide online customer support in many languages and make their content multilingual.
These Terms of Service (“Terms”) govern your access to and use of our services, software and websites (the “Services”). Wherever you are located, your agreement is with Askly OÜ (registry code 14507205, Tartu mnt 82, 10112 Tallinn, Estonia).
By using the Services, you agree to be bound by these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you agree to these Terms on behalf of that organization.
Permissions
When you use the Services, you upload or add files, content, messages and contacts (“Your Items”). Your Items remain yours. These Terms give us no rights to Your Items except the limited rights we need to provide the Services.
We need your permission to host your Items, back them up and share them when you ask us to. The Services also offer features such as sharing, commenting, sorting, editing and searching. These and other features may require our systems to access, store and scan your Items. You give us permission to do so, and this permission extends to our affiliates and the trusted third parties we work with.
We use Google’s Cloud Machine Learning API and Translation API to provide certain features of the Services, and we are contractually required to make you aware of certain terms related to them. By signing up for an account and using the Services, you acknowledge and agree that you are also bound by the Google Terms of Service, including the Google Privacy Policy.
The Services let you share your Items with others and work with third parties you choose, so please think carefully about what you share and with whom. We are not responsible for the conduct of any third parties, partners or linked websites. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the software, solely to access the Services.
Your responsibilities
You are responsible for keeping your account username and password confidential, and you must notify us immediately of any unauthorized access to or use of your account. Do not copy, upload, download or share content unless you have the right to do so. Parts of the Services may be protected by intellectual property rights. We may review your conduct and content for compliance with these Terms, but we have no obligation to do so. We are not responsible for the content that people post and share through the Services.
You are also responsible for deciding whether the Services are suitable for you, given your obligations under any applicable regulations, such as HIPAA, GLBA, EU data protection laws (including the General Data Protection Regulation) (together, “EU Data Protection Laws”), United States export control laws and regulations and economic sanctions laws and regulations (“U.S. Export Control Laws and Regulations”), or other applicable laws.
You may use the Services only as permitted by applicable law, including export control laws and regulations. To use the Services, you must be at least 13 years old, or older where local law requires it. If you live in Ireland, Germany or the Netherlands, you must be at least 16. Please check your local laws on the age of digital consent. If you do not meet these age requirements, you may not use the Services.
These Terms remain in effect for as long as you have an account, or until you or we terminate the agreement under these Terms, whichever happens first.
Beta features
We sometimes release products and features that we are still testing and evaluating. They are marked as beta, preview, early access or evaluation (or with words of similar meaning) and may be less reliable than Askly’s other services.
Intellectual property and copyright
The Services are protected by copyright, trademark and other EU and foreign laws. These Terms do not grant you any right, title or interest in the Services, in other people’s content in the Services, or in Askly’s trademarks, logos and other brand features. We welcome feedback, but we may use your comments or suggestions without any obligation to you.
We respect the intellectual property of others and ask you to do the same. You may not distribute, exchange, modify, sell or transmit anything you copy from the Services, including any text, images, audio and video, for any business, commercial or public purpose. We reserve the right to delete or disable content alleged to be infringing and to terminate the accounts of repeat infringers.
Paid accounts and services
You can extend your use of Askly by adding paid features, which converts your account into a paid account and subscribes you to additional services. A paid account gives you additional capabilities and features.
AI features
By using Askly’s AI features (such as the AI Support Agent, AI Search and AI Voice Agent, previously called the AI Assistant), you agree that machine learning technologies are applied to your conversations. We use third-party technology to provide the best possible service. By using the AI features, you:
- agree that your conversation data is analyzed and processed with machine learning models;
- understand that these technologies are used to improve customer service and to give more accurate and relevant answers;
- accept that the third parties providing these technologies access your data only to the extent needed to provide the service.
We aim to ensure that all data processing complies with applicable data protection laws and our Privacy Policy. The security and confidentiality of your data are of the utmost importance to us, and we take all necessary measures to protect it.
Prices
Before we process an order, you choose a paid plan and accept these Terms. Our prices are published on our website (pricing). We may change our fees, and we will notify you in advance by email to the address associated with your account.
Prices are in euros and exclude VAT, which is added where applicable. They include payment processing fees.
Payment methods
All transactions are in euros (EUR). You can pay by Mastercard, Maestro or Visa. Payments are processed by Stripe.
Refunds
If the Services are not delivered, we will do our best to improve our service to your satisfaction. We may offer a refund if the Services cannot be used because of issues caused by Askly. We are not responsible for third-party services, such as browsers, connectivity or security providers.
Identification
When a business relationship is established, we and/or the payment institution are required to identify the user. The identification method may vary with the requirements of the country where the user enters into the business relationship with us (for example, online or face-to-face identification).
The user must provide any data and documents we request for identification. If we doubt the accuracy of the user’s data or documents, we may ask the user to clarify their data, to provide additional information or documents to prove their identity, or, if necessary, to repeat the identification.
By accepting these Terms, the customer gives us an irrevocable right to share identification and authentication information about the user with the payment institution, in any format.
For security and legal reasons, we do not store or process users’ bank or credit card details. We may change or add payment institutions in cooperation with the payment solutions we provide.
Organization accounts
If you sign up with an email address provided by your organization and use the Services for your organization’s work, your organization may be able to block your access to Askly. You must use Askly in line with your organization’s terms and policies. Such accounts are controlled by your organization: its administrators may access, disclose, restrict or remove information in or from your Askly account, and may restrict or end your access to Askly. Organization accounts have owners and administrators, who must act in line with the roles and permissions in Askly (under your account settings).
Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services, with notice to you, if:
- you breach these Terms;
- you use the Services in a way that creates a real risk of harm or loss to us or to other users; or
- you do not have a paid account and have not used the Services for 6 consecutive months.
Discontinuation of the Services
We may discontinue the Services in response to unforeseen circumstances beyond Askly’s control, or to comply with a legal requirement. If we do, we will give you reasonable notice so that you can export Your Items from our systems. If we discontinue the Services in this way before the end of a fixed or minimum term you have paid for, we will refund the prepaid fees for the period in which you did not receive the Services.
Resolving disputes
We want to resolve your concerns without formal legal proceedings. Before filing a claim against Askly, you agree to first try to resolve the dispute informally by contacting us at info@askly.me. We will try to resolve it informally by email. If the dispute is not resolved within 30 days of your contact, you or Askly may start formal proceedings.
You and Askly agree that any court proceedings to resolve claims relating to these Terms or the Services will be brought in the courts of Estonia, and both parties consent to the venue and personal jurisdiction of those courts. If you live in a country (for example, the United States) whose laws give consumers the right to bring disputes in their local courts, this paragraph does not affect that right.
You and Askly agree that any dispute arising from the relationship between the parties under this agreement will be settled by an arbitrator chosen under the Arbitration and Internal Rules of the European Court of Arbitration (part of the European Centre of Arbitration, seated in Strasbourg) in force when the request for arbitration is filed. Adopting this clause constitutes acceptance of those rules. The seat of arbitration is the Arbitration Court of the Estonian Chamber of Commerce and Industry. The proceedings will be held in English, and Estonian substantive law applies.
